NOTICE OF ANNUAL GENERAL MEETING

Notice is hereby given that 13th Annual General Meeting of the share holder of Asim Textile Mills Limited will be held at 16 -C

peoples colony, Faisalabad at 9:30 a.m. on Monday the March 31st,, 2003 to transact the following business:-

1- To confirm the minutes of the last Annual General Meeting held on March 30, 2002.

2- To receive, consider and adopt the audited accounts of the company for the year ended September 30, 2002 together with the director's and auditor's reports thereon.

3- To appoint auditors for the year ending September 30, 2003 and fix their remuneration. The retiring auditors M/s. Zahid Jamil & Company. Chartered Accountants being eligible, offer themselves for re-appointment.

4- To elect seven directors for the next tenure of three years which number is fixed by the board in accordance with the provisions of the companies Ordinance, 1984. The retiring directors are Mr. Zahid Anwar, Mrs. Rukhsana Begum, Mr. Zeeshan Zahid, Miss Q. A Zahid, Mr. Zia Ullah Khan. Mr.Muhammad Ilyas and Mr.Muhammad Hussain Zafar.

5. SPECIAL BUSINESS:-

To consider and pass with or without amendment / modification the following resolution as special resolution u/s 208 of the Companies Ordinance , 1984:-

"Resolved that investment as loan/advance upto Rs. 30.00 Million in J.A Textile Mills Ltd., an associate company be and is hereby approved"

STATEMENT UNDER SECTION 160(B):-

i.    J.A Textile Mills Limited is a public Limited Company quoted on Karachi and Lahore Stock Exchange with an authorized capital of Rs. 200 million divided into 20 million ordinary shares of Rs. 10 each having its Registered office at 16-C, Peoples Colony Faisalabad. The Directors have no interest in this investment.

    The Memorandum and Articles of Association of the above named company have been kept at Registered Office of the company and can be inspected from 9:00 a.m. to 4:00 p.m. on all working days upto March 29 . 2003.

    6. To transact any other business with the permission of the chair.
